1. Agreement to Terms

By accessing or using Bax ("the Service"), operated by Ziplyne Agency ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Description of Service

Bax is a project command center for developers. The Service connects to your GitHub account to import repository metadata, uses AI to generate project descriptions and audit dependencies, and provides tools for organizing projects, linking external services, and launching editors. Bax does not store your source code.

3. Accounts

To use Bax, you must create an account by authenticating with GitHub. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must notify us immediately at admin@bax.dev if you become aware of any unauthorized use of your account.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorized access to the Service or its related systems
• Interfere with or disrupt the integrity or performance of the Service
• Reverse engineer, decompile, or disassemble any aspect of the Service
• Use the Service to transmit malware, viruses, or other harmful code
• Scrape, crawl, or use automated means to access the Service without permission
• Impersonate any person or entity, or misrepresent your affiliation

5. Third-Party Integrations

Bax integrates with third-party services including GitHub, Vercel, and others. Your use of these integrations is subject to the respective third-party terms of service. We are not responsible for the availability, accuracy, or content of third-party services. You authorize Bax to access your data on these services to the extent permitted by the OAuth scopes you grant.

6. Intellectual Property

The Service, including its design, features, and content (excluding user data), is owned by Ziplyne Agency and protected by intellectual property laws. You retain all rights to your repositories, code, and data. By using the Service, you grant us a limited license to access and process your repository metadata solely to provide the Service's features.

7. Pricing and Payment

Bax offers free and paid tiers. Paid subscriptions are billed monthly via Stripe. You may cancel at any time, and your subscription will remain active until the end of the current billing period. We reserve the right to change pricing with 30 days' notice. Refunds are handled on a case-by-case basis.

8. Service Availability

We strive to keep Bax available at all times but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We are not liable for any downtime or data loss.

9. Limitation of Liability

To the maximum extent permitted by law, Ziplyne Agency shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service. Our total liability for any claim related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. AI-generated descriptions and dependency audits are provided for informational purposes and should not be relied upon as the sole source of truth.

11. Termination

We may suspend or terminate your access to the Service at any time for violation of these terms or for any other reason at our discretion, with or without notice. Upon termination, your right to use the Service ceases immediately. You may delete your account at any time through the Service settings.

12. Changes to These Terms

We may update these Terms of Service from time to time. We will notify you of material changes by posting the updated terms on this page and updating the effective date. Your continued use of the Service after changes constitutes acceptance of the revised terms.

13. Governing Law

These terms shall be governed by and construed in accordance with applicable laws. Any disputes arising from these terms or the Service shall be resolved through good-faith negotiation first, and if necessary, through binding arbitration.
